Terms and conditions

General Terms and Conditions (GTC) of Onap Digital Services LLC for the WIMEVO brand – as of November 2026. These conditions apply exclusively to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB).

1. Scope

These General Terms and Conditions apply to all contracts for the design, development and modernization of websites between Onap Digital Services LLC (hereinafter “WIMEVO”) and its customers.

The services are aimed exclusively at entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), i.e. at natural or legal persons who, when concluding the contract, are acting in the exercise of their commercial or independent professional activity. Contracts are not concluded with consumers.

Differing conditions of the customer do not become part of the contract unless WIMEVO expressly agrees to their validity in writing.

2. Conclusion of contract and services

The presentation of the services on wimevo.com does not constitute a binding offer, but rather an invitation to make an inquiry.

Upon request, WIMEVO will create a free and non-binding design preview. No contract or payment obligation arises from the production or transmission of the preview.

A contract is only concluded when the customer accepts an individual offer from WIMEVO after receiving the preview. The respective offer is decisive for the scope of services, dates and remuneration.

3. Preview, Compensation and Payment

The compensation is a one-time payment. There are no subscriptions, no ongoing obligations and no minimum terms unless otherwise expressly agreed in the offer.

The compensation is only due after the customer has seen the preview and accepted the offer. There are no costs incurred without an order.

After acceptance or approval of the service, WIMEVO issues an invoice. The payment term is 14 days from the invoice date.

In the event of late payment, the legal regulations for entrepreneurs apply, in particular Section 288 Paragraph 2 of the German Civil Code (BGB).

4. Ownership, usage rights and domain

With full payment, the customer receives ownership of the website created for him, including the agreed design and source code results, to the extent that these are transferable.

Rights to the non-binding preview remain with WIMEVO until the order has been placed and payment has been made in full. Use of the preview without authorization is not permitted.

WIMEVO recommends registering the domain in the customer's name. If desired, WIMEVO supports you in setting up or moving an existing domain; The contractual and ownership relationships of the domain remain with the customer.

Third-party services (such as hosting, domain registration or licensed fonts and images) are subject to the terms and conditions of the respective provider and, unless otherwise agreed, are concluded directly between the customer and the provider.

5. Customer participation

The customer provides the content required for implementation (texts, images, logos, information) in a timely and appropriate manner and grants the necessary approvals.

The customer guarantees that he has the necessary rights to the content provided and that it does not violate the rights of third parties. He releases WIMEVO from third-party claims that arise from the use of the content provided by the customer.

If participation is delayed, agreed dates will be postponed accordingly.

6. Acceptance

After completion, WIMEVO requests the customer to accept it. The customer checks the service within 14 days and declares acceptance or reports specific defects.

The service is deemed to have been accepted if the customer uses it, pays the invoice or does not report specific defects within the deadline.

Minor defects do not justify refusal of acceptance.

7. Warranty

The statutory provisions of contract law apply to defects in the service, unless otherwise specified below.

Obvious defects must be reported in writing within two weeks of acceptance.

The warranty period is one year from acceptance, provided there is no intentional or grossly negligent breach of duty.

WIMEVO assumes no liability for content provided by the customer or for third-party services (such as hosting or domain registration).

8. Liability

WIMEVO is liable without limitation for intent and gross negligence as well as for injury to life, body or health.

In the case of simple negligence, WIMEVO is only liable for breach of essential contractual obligations; In this case, liability is limited to the foreseeable damage that is typical for the contract.

Liability for lost profits, indirect damages and consequential damages is excluded to the extent permitted by law.

No specific placement or effect is guaranteed for the success of search engine or AI visibility (SEO/GEO).

9. Final provisions

The law of the state of Wyoming, United States of America applies, excluding the UN Convention on Contracts for the International Sale of Goods.

The place of jurisdiction for all disputes arising from the contractual relationship is, to the extent permitted by law, the headquarters of Onap Digital Services LLC in Sheridan, Wyoming, USA.

Should individual provisions of these General Terms and Conditions be or become wholly or partially ineffective, the effectiveness of the remaining provisions remains unaffected. The statutory regulation shall replace the invalid provision.

Changes and additions must be in text form. The version published on wimevo.com applies.
